Welcome to DeepTick ("Service"), a cryptocurrency market data platform operated by Invisible Hand Capital LLC, a New Mexico limited liability company ("Company", "we", "us", or "our"). Our principal place of business is:

By accessing or using the Service — including subscribing to our data feeds, downloading historical files, using our APIs, SDKs, or any related tools — you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

1. Eligibility

You must be at least 18 years of age and capable of forming a binding contract to use the Service. By using the Service, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration.
• Maintain the security of your password and API keys.
• Not share your credentials or expose them in public repositories, client-side code, or version control systems.
• Accept responsibility for all activities that occur under your account.

We reserve the right to suspend or terminate accounts that contain inaccurate information or that we reasonably believe are being used in violation of these Terms.

3. Data Licensing and Usage

Subject to your compliance with these Terms and payment of applicable subscription fees, Invisible Hand Capital LLC grants you a limited, non-exclusive, non-transferable, revocable license to access and use the market data provided through the Service.

• Individual & Team Plans: You may use the data for internal research, backtesting, model development, and production trading execution. Redissemination, resale, sublicensing, or public redistribution of raw data files, feed records, or derived datasets that substantially replicate the original data is strictly prohibited.
• Enterprise Plans: Custom redissemination, external redistribution, and white-label rights are governed solely by a separately signed enterprise data agreement between you and Invisible Hand Capital LLC.
• Free Tier / Trial Access: Data accessed through free tiers or trial periods is subject to the same restrictions as Individual plans unless otherwise specified in writing.

4. API Keys and Authentication

You are responsible for safeguarding your assigned API keys and access credentials. You agree that:

• API keys are personal and non-transferable.
• You will not share, sell, or distribute your API keys to third parties.
• You will implement reasonable security measures to protect your credentials.
• Multiple simultaneous connections, automated credential scanning, or activities that violate published rate limits may result in temporary or permanent API key suspension without prior notice.

You must notify us immediately at support@deeptick.dev if you believe your API keys have been compromised.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable local, state, national, or international law or regulation.
• Reverse-engineer, decompile, or disassemble any part of the Service infrastructure.
• Attempt to gain unauthorized access to other users' accounts, the Service's internal systems, or connected exchange infrastructure.
• Transmit any malicious code, viruses, or other harmful software through the Service.
• Conduct denial-of-service attacks, load tests, or stress tests against the Service without prior written consent.
• Scrape, crawl, or harvest data from the Service outside of the provided APIs and download mechanisms.
• Use the data in any manner that facilitates market manipulation, wash trading, or other illegal trading activities.

6. Subscription Fees and Payments

Certain features of the Service require payment of subscription fees. By subscribing, you agree that:

• All fees are quoted in US Dollars (USD) unless otherwise specified.
• Subscriptions automatically renew at the end of each billing cycle unless you cancel before the renewal date.
• We reserve the right to change pricing with at least 30 days' prior notice. Continued use after a price change constitutes acceptance of the new pricing.
• Payments are processed through secure third-party payment processors. We do not store your credit card information on our servers.
• All fees are non-refundable except as required by applicable law or as explicitly stated in a separate written agreement.

7. Service Availability and Performance

We strive to achieve high availability for our data repositories, APIs, and WebSocket feeds. However, you acknowledge and agree that:

• Data is collected directly from external cryptocurrency exchanges, which are outside our control.
• We do not guarantee uninterrupted connectivity, 100% feed uptime, or zero data loss due to exchange-side API maintenance, rate limits, outages, or network anomalies.
• Historical archives are provided on an "as-is" and "as-available" basis.
• We may perform scheduled maintenance that temporarily interrupts access to the Service, and we will endeavor to provide reasonable advance notice of such maintenance.
• Latency and throughput are provided on a best-effort basis and may vary based on network conditions, exchange responsiveness, and system load.

8. Intellectual Property

All rights, title, and interest in and to the Service — including but not limited to the website, APIs, SDKs, documentation, data collection infrastructure, normalization logic, proprietary schemas, and branding — are and shall remain the exclusive property of Invisible Hand Capital LLC. Nothing in these Terms grants you any ownership rights in the Service or its underlying technology.

You retain ownership of any models, strategies, or applications you independently develop using the data, provided that such works do not incorporate or redistribute the raw data in violation of Section 3.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, AND NON-INFRINGEMENT. INVISIBLE HAND CAPITAL LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL INVISIBLE HAND CAPITAL LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, TRADING LOSSES, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE.

DeepTick does not provide financial, investment, or trading advice. We are not liable for any financial losses, trading deficits, or computational overhead incurred due to data discrepancies, parsing latency, feed gaps, or system downtime. Our total aggregate liability to you for all claims arising out of or related to the Service shall not exceed the amount you paid to us in the twelve (12) months preceding the event giving rise to the claim.

11. Indemnification

You agree to indemnify, defend, and hold harmless Invisible Hand Capital LLC and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service or any data obtained through the Service.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Any third-party claim resulting from your use or redistribution of the data.

12. Termination

You may cancel your subscription at any time through your dashboard or by contacting us at support@deeptick.dev. Cancellation will take effect at the end of the current billing period.

We reserve the right to suspend or terminate your access to the Service immediately, without prior notice or liability, if:

• You breach any provision of these Terms.
• We detect abusive, fraudulent, or unauthorized use of the Service.
• You fail to pay applicable subscription fees.
• We are required to do so by law or regulation.

Upon termination, your right to use the Service and access data will cease immediately. Sections 3, 8, 9, 10, 11, 13, and 14 shall survive termination.

13. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in the State of Delaware, and you consent to the personal jurisdiction of such courts.

14. General Provisions

• Entire Agreement: These Terms, together with any applicable enterprise data agreements and our Privacy Policy, constitute the entire agreement between you and Invisible Hand Capital LLC regarding the Service.
• Severability: If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
• Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
• Assignment: You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
• Modifications: We reserve the right to modify these Terms at any time. Material changes will be communicated via email or through a notice on the Service. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
